Terms & Conditions of Purchase from Stella Stathi
The Terms
The Programs and Services are owned and operated by Stella Stathi (“we”, or “us”). The term “you” refers to any purchaser and/or user of any of our Programs and/or Services. These Terms (“Terms and Conditions of Purchase”) state how you may use our Programs and Services and Program Materials, and their content. Please read these Terms carefully. We reserve the right to change these Terms from time to time. By using any of our Programs and Services you are agreeing to the Terms as they appear and are legally bound by them, whether or not you have read them.
The Program or Service may include live course access, course content and materials, other information and materials furnished by us (collectively, “Content”) and access to a website for members of the Program (the “Site”). By purchasing access to them, you and we hereby agree to these Terms and Conditions of Purchase and the Company’s Terms of Use and Privacy Policy (collectively, this “Agreement”) following legal terms and conditions that govern your use of our Programs and/or Services and that form a legal agreement between you and us.
Use & Consent
Your purchase entitles you to access for one (1) person to the Program and/or Service from Stella Stathi (“we,” or “us”). You must be at least 18 years of age or older to purchase access to any of our Programs and Services. Any registration by, use of or access to any Program Service or Program Materials by anyone under age 18 is unauthorised, unlicensed and in violation of these Terms. By accessing or using our Programs or Services or our Program Materials, you represent and warrant that you are at least 18 years old. To take the Program or Service along side a partner, friend, collaborator or staff member(s) each additional person must also purchase or have been purchased the course individually.
By purchasing or using any of our Programs or Services, you agree to abide by these Terms as well as any other Terms set out by us including but not limited to our Disclaimers, Terms of Use and Privacy Policy and any other terms and conditions that may apply, and you are required to act in accordance with them. Accessing, purchasing or using our Programs, Services or Program Materials, in any manner constitutes use of the Program, Services and Program Materials, and your agreement to be bound by these Terms legally. In the event of any conflict between these Terms and Conditions of Purchase and the Terms of Use or Privacy Policy, these Terms and Conditions of Purchase shall control.
INTELLECTUAL PROPERTY RIGHTS
All Programs, Services and associated materials and content, all website, marketing, image and all Program Materials are owned or licensed solely to Stella Stathi and are protected by copyright, trademark and other applicable intellectual property laws.
Any materials provided to you during the Programs, Services & Program Materials, whether digital or printed, any and all intellectual property in those materials belongs to Stella Stathi, and unless agreed otherwise you can only use those materials for your own personal use, noncommercial use and you may not share them with third parties.
Unless explicitly authorised, you may not duplicate, share (including sharing to social media sites), copy, upload, modify, reproduce, republish, post, transmit, rent, lease, loan, translate, sell, create derivative works, exploit, or distribute in any manner or medium (including by email or other electronic means) any material, from any Stella Stathi Program or Service.
The use of the company’s program, service, program materials, except as permitted in this agreement, is strictly prohibited and infringes on our intellectual property rights and others and may subject you to civil and criminal penalties, including possible monetary damages, for copyright and other infringement.
Privacy & Confidentiality
We respect your privacy and must insist that you respect the privacy of other people that participate in the Program (““Program Participants”).
By purchasing access to the Program, you agree:
not to infringe any copyright, patent, trademark, trade secret or other intellectual property rights of Stella Stathi or the Program Participants;
that any confidential information shared by Program Participants or any of our representatives is confidential and proprietary and belongs solely and exclusively to the Participant who discloses it or to us;
not to disclose such confidential information to any other person or use it in any manner other than in discussion with other Program Participants during training sessions;
that all Content provided to you by us is our confidential and proprietary information and intellectual property, belong solely and exclusively to Stella Stathi, and may be used by you only as authorised by us;
the reproduction, distribution and sale of the Content by anyone other than us is strictly prohibited; and
that if you violate, or threaten to violate, any of your agreements contained in this paragraph we will be entitled to, among other things, injunctive relief to prohibit such violations.
You must keep the experience and statements, oral or written, of all Program Participants in the strictest of confidence.
We reserve the right to market and share stories of Program Participants experience arising from engagement with Program and/or Services and will do so anonymously unless explicit permission to use personal information, such as name, age, location, is granted.
Community Conduct & Participation
You are not permitted to sell, solicit, offer your services, or invite Program Participants to join other social networks, groups, or programs for the duration of the Program and/or Service you have purchased from us.
You agree, when engaging in Peer to Peer or Group Calls that may be offered as part of the Program or Service you have purchased, to show up on time, conduct yourself and communicate in a professional, clear and respectful manner, manage your time appropriately so that you do not inflict upon other Program Participants time slots, and agree to follow the structure and schedule provided as guidance.
You must keep the experience and statements, oral or written, of all Program Participants shared in Peer to Peer, Group Calls or any other format in the strictest of confidence. This creates a space for genuine sharing, intimacy and safety to be experienced by Program Participants.
Your failure to comply with these terms may result in immediate termination of your participation in the Program and/or Service without refund.
Third Party Websites, Materials & Links
We may provide links to third-party materials and websites. These third-party materials and websites are not part of the Program and they may be either withdrawn or terminated at any time without any liability on our part. You agree that we are not responsible for examining and evaluating the content and accuracy of any third-party materials and websites, and we do not warrant and will not have any liability or responsibility for any third-party materials or websites or for any other materials, products, or services of third-parties. These links are provided only for your convenience and does not mean that we endorse, are affiliated with or receive sponsorship from the third-party materials, websites, its owners and the content/ goods/ products or services it provides.
DISCLAIMERS
Our Programs, Services, and Program Materials are for informational and educational purposes only. By purchasing and using any of our Programs, Products and/or Services you agree that we are not responsible, nor liable, for any actions or choices you hereby make as a result. To the fullest extent permitted by law, we expressly exclude any liability for any direct, indirect or consequential loss or damage incurred by you or others in connection with our Programs, Services, and Program Materials, including without limitation any liability for any accidents, delays, injuries, harm, loss, damage, death, lost profits, personal or business interruptions, misapplication of information, physical or mental disease, condition or issue, physical, mental, emotional, or spiritual injury or harm, loss of income or revenue, loss of business, loss of profits or contracts, anticipated savings, loss of data, loss of goodwill, wasted time and for any other loss or damage of any kind.
We will not take any responsibility or liability for any accidents, injuries or medical bills that may occur from use or misuse of any Programs and/or Services.
Our Programs, Services, and Program Materials do not in any way offer medical or psychological advice. Stella Stathi is a qualified, registered psychotherapist, and the program will include psychological knowledge and tools, however the online, group programs we offer are coaching and teaching in nature, and not therapeutic or group therapy programs. The information provided through our Programs, Services, and Program Materials is not intended to be a substitute for professional psychological and/or medical advice. You must consult your own GP, Physician or Mental Health practitioner if you have any concerns whatsoever about your physical or mental wellbeing. You understand that even though Stella Stathi is a qualified, registered psychotherapist, she will not be offering therapy services within her programs, and assume full responsibility for your own physical, emotional and mental health in this process.
When addressing matters relevant to the Content in any of our websites, videos, newsletters, Programs and Services, we have taken all reasonable efforts to ensure that we accurately represent our programs and their potential to improve your life and relationship with your body and self. However, we do not guarantee that you will get any results using any of our ideas, tools, strategies or recommendations, and nothing in the Program, Content, or Site is a promise or guarantee to you of future results.
We make no warranties as to our programs, services, or program materials. You agree that programs, services, or program materials are provided “as is” and without warranties of any kind either express or implied. We do not warrant or make any representation regarding the use or the results of the use of our program or service materials.
Personal Responsibility and Assumption of Risk
You expressly agree that your use or inability to use our program or service is at your sole risk. By purchasing access to our Program and/or Services you accept, agree, and understand that you are fully responsible for your progress and results from your participation and that we offer no representations, warranties, or guarantees verbally or in writing regarding your results of any kind. You alone are responsible for your actions and results in life and relationship with your body and self, which are dependent on personal factors including, but not necessarily limited to, your skill, knowledge, ability, dedication, and personal commitment, to name just a few. You also understand that any client results represented on our programs, websites, content, landing pages, sales pages, or offerings have not been scientifically evaluated by us and the results experienced by individuals may vary significantly. Any statements outlined on our websites, programs, Content, and offerings are simply our opinion and thus are not guarantees or promises of actual performance. We offer no professional legal, medical, psychological, or financial advice in our programs.
By using our Programs and/or Services you agree that you are using your own judgment and you agree that you are doing so at your own risk. Programs, Services and Program Materials offered by us are for informational and educational purposes only. You agree and understand that you assume all risks and no results are guaranteed in any way related to our Programs, Services and Program Materials. Our Programs, Services and Program Materials are merely to provide you with education and tools to help you make your own decisions for yourself. You are solely responsible for your actions, decisions and results based on the use, misuse or non-use of our Programs, Services and Program Materials. We take every precaution to protect our Programs, Services and Program Materials. However, due to the nature of the Internet, we cannot completely ensure or warrant the security of the Programs, Services and Program Materials or the contributions or information transmitted to us on or through our Website or our Programs, Services and Program Materials. Submitting contributions or information on our through our Programs, Services and Program Materials is done entirely at your own risk. We make no assurances about our ability to prevent any such loss or damage to you or to any other person, company or entity arising out of use of our Programs, Services and Program Materials and you agree that you are assuming such risks.
Errors & Omissions
Our commitment is to provide high quality transformational Programs and Services. However, we make no warranty or guarantee as to the accuracy, completeness or suitability of the information in our Programs, Services, and Program Materials due to the continual evolving nature of research & knowledge. While we strive and make every effort to provide you with high quality, accurate & experiential information, you acknowledge that, to the fullest extent permitted by law that such information may contain inaccuracies or errors and we accept no liability for any such inaccuracies or errors.
Payment & Refund Policy
You are responsible to pay for the Program and/or Service in full (including all applicable sales and other taxes or fees) and for providing us with a valid credit card or other payment method. If you select the payment plan, your card will be charged the first payment as described on the sales page when you register and the subsequent payments as set out on the sales page at the point of sale will be charged on the same day of the month unless otherwise specified for the total duration of the payment plan. If you have selected a payment plan and you miss a payment, you will be asked to update your billing information immediately, failure to do so in a timely manner will result in loss to all Modules & Course Content until payment is made. Program payments must be made in full as set out at the point of sale. All late payments will be subject to a £50 charge.
The payment plan is NOT a subscription payment model that can be canceled or a “pay in part” program where you can pay only for access to certain Modules and not others. This is a full immersion program, and your payment plan is a convenience that is offered so that you can make the price sustainable.
If your account payments are not kept up to date for longer than sixty (60) days, we reserve the right to report any delinquent balance owed to a credit reporting bureau and/or collections agency subject to our sole discretion until the account is caught up and in good standing.
If paying by debit card, or credit card, you give us permission to automatically charge your credit or debit card as payment for your Program or Service without any additional authorisation, for which you will receive an electronic receipt.
If you fail to make payment in a timely manner in accordance with these Terms or voluntarily decide to withdraw from the Programs or Services at any time or for any reason whatsoever, you still will remain fully responsible for the full cost of the Programs and/or Services.
All information obtained during your purchase or transaction for our Programs and Services and all of the information that you give as part of the transaction, such as your name, address, method of payment, credit card number, and billing information, may be collected by both us and our payment processing company. You agree to only purchase goods or services for yourself or for another person for whom you are legally permitted to do so or for whom you have obtained the express consent to provide their name, address, method of payment, credit card number, and billing information. You agree to be financially responsible for all purchases made by you or someone acting on your behalf. You agree to use our Programs, Services, and Program Materials for legitimate, non-commercial purposes only and not for speculative, false, fraudulent, or illegal purposes.
Refunds are not offered for any portion of your payment for any of our Programs and Services, and no refunds will be provided to you at any time. By using and/or purchasing any of our Programs, Services or Program Materials, you understand and agree that all sales are final and no refunds will be provided.
Termination
We reserve the right in our sole discretion without any notice to you to terminate, refuse or suspend your access to our Programs and/or Services if you fail to, or we suspect you have failed to, comply with any of the provisions of this Agreement. Your obligation to comply with the terms of this Agreement will continue to be binding during and after any such termination, including but not limited to all copyright, intellectual property rights, disclaimers, limitations of liability and our Payment and Refund Policy. In the event of cancellation or termination you will have 7 days to pay any and all remaining payments or balances that are owed to us.
Governing Law
These terms are governed by English law and we agree that any disputes will be dealt with by an English Court.
Events Outside Our Control
If an event happens which is outside of our reasonable control, then we shall not be liable or responsible for any failure to provide services or any delay in providing services caused by that event. If such an event was to take place you will be contacted by us to let you know as soon as reasonably possible. The timetable agreed for the services will be extended for the duration of an event like this.
Scheduling & Timelines
The Company reserves the right to make changes to the schedule of Content and times without notice.
Entire Agreement
This Agreement constitutes the entire understanding and agreement of the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements or understandings, inducements, or conditions, express or implied, written or oral, between the parties.
Changes
We reserve the right to add new or additional terms or conditions to this Agreement; such modifications will be effective immediately. Your continued use of the our Programs and/or Services will be deemed your acceptance thereof. The changes may be listed in an area accessible to you on our Site or you may be notified by e-mail.
